This Intellectual Property Transfer Agreement formally transfers all proprietary rights, title, and copyright in completed design assets.

SECTION 1. SCOPE OF TRANSFERRED WORKS

All final vector brand marks, logotypes, color palettes, bespoke icon sets, and Figma interface source files created under Project AGR-2026-008.

SECTION 2. CONDITION PRECEDENT (FULL SETTLEMENT)

This assignment is strictly contingent upon cleared receipt of all project fees in full. In the absence of full settlement, all copyright remains with Designer.

SECTION 3. PERPETUAL WORLDWIDE ASSIGNMENT

Subject to Section 2, Designer assigns all right, title, and worldwide copyright interest exclusively to Client, with right to register trademarks and patents.

SECTION 4. DESIGNER PORTFOLIO RIGHTS

Client grants Designer a perpetual, irrevocable, non-exclusive license to display the works in print/digital design portfolios, case studies, and award submissions.

Compensation & Investment Summary

Assignment granted in consideration of full project fee settlement of $4,500.00.

Executed concurrently with final invoice settlement receipt.
