This Mutual Non-Disclosure Agreement ('Agreement') protects confidential proprietary design, trade secret, and technological disclosures between the Parties.

SECTION 1. CONFIDENTIAL INFORMATION DEFINED

Includes all unreleased visual concepts, Figma prototypes, branding strategies, product roadmaps, source code, financial projections, and proprietary algorithms disclosed in writing or orally.

SECTION 2. DUTY OF NON-DISCLOSURE & SECURITY

Each Party agrees to hold the other's Confidential Information in strict confidence, exercising at least reasonable care, and shall not disclose it to any third party without prior written consent.

SECTION 3. TERM & RETURN OF MATERIALS

Obligations survive for a period of two (2) years. Upon written request, each party shall immediately return or securely destroy all confidential media and copies.

SECTION 4. REMEDIES & INJUNCTION

Breach of confidentiality causes irreparable harm. Disclosing party is entitled to seek injunctive relief without bond in addition to monetary damages.

Compensation & Investment Summary

Mutual covenant with zero financial consideration required.

Notes & Stipulations

Governed under the laws of the State of California without regard to conflict of laws principles.
